1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Inition Technology LLP (operating as "Alpha Hire", "we", "us", or "our") concerning your access to and use of the Alpha Hire platform and related services.

Our Services are primarily intended for users in India. Users from other countries may use the Services subject to compliance with their local laws. We do not guarantee that our Services are appropriate or available for use in all jurisdictions.

• Your account is inactive for more than 2 years

• Your Content complies with these Terms and applicable laws

Prohibited Content

We reserve the right to:

• Review, monitor, or remove any User Content
• Take action against users who violate our content policies
• Report illegal content to law enforcement authorities
• We are not obligated to pre-screen or monitor all content

6. Fees and Payment Terms

Service Fees

Alpha Hire offers both free and paid services:

• All fees are in Indian Rupees (INR) unless otherwise stated
• Fees are exclusive of applicable taxes (GST, etc.)
• Payment processing is handled by secure third-party providers
• Subscription fees are billed in advance

Refund Policy

Interviewer Compensation

For interviewers:

• Compensation is based on successful candidate placements
• Payment terms are specified in the Interviewer Agreement
• Minimum payout threshold: ₹ 1,000
• Payments processed within 30 days of successful placement
• TDS deducted as per Indian tax laws

Our Intellectual Property

All content, features, and functionality of the Alpha Hire platform, including but not limited to:

• Text, graphics, logos, icons, images, audio clips, video clips
• Software, source code, and underlying technology
• Trademarks, service marks, and trade names
• Design, selection, and arrangement of content

Are owned by Inition Technology LLP and protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Services for your personal or internal business purposes
• Download and print materials solely for authorized use

Restrictions

You may NOT:

• Copy, modify, distribute, or create derivative works
• Remove any copyright or proprietary notices
• Use our trademarks without written permission
• Frame or mirror any content from the platform

Trademark Information

"Alpha Hire" and associated logos are trademarks of Inition Technology LLP. Use of these marks without prior written permission is strictly prohibited.

Copyright Infringement

If you believe your copyrighted work has been infringed, please notify us at:

9. Termination

Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your settings
• Contacting our support team at support@alphahire.cloud

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We cease providing Services
• Continued provision would be unlawful
• Your account is inactive for more than 24 months

Effect of Termination

Upon termination:

• Your right to access and use the Services immediately ceases
• We may delete your account and User Content
• You remain responsible for all fees and charges incurred
• Provisions that should survive termination will continue (e.g., liability disclaimers)

Data Retention After Termination

We may retain certain information:

• As required by law or for legitimate business purposes
• For audit, accounting, or dispute resolution
• Assessment records (retained for 7 years as per legal requirements)
• Financial transaction records (retained as per Indian tax laws)

Specific Disclaimers

• No Employment Guarantee: We do not guarantee that candidates will be hired or that companies will find suitable candidates
• Assessment Accuracy: While we strive for accurate assessments, we do not guarantee the accuracy or completeness of any assessment reports
• Third-Party Content: We are not responsible for the accuracy, completeness, or usefulness of third-party content or services
• Service Availability: We do not guarantee uninterrupted, timely, secure, or error-free service
• User Interactions: We are not responsible for the conduct of other users or any disputes between users

No Professional Advice

The Services do not constitute professional, legal, financial, or career advice. You should consult appropriate professionals for specific advice tailored to your situation.

11. Limitation of Liability

Exclusion of Damages

WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption
• Cost of substitute services
• Damages arising from third-party conduct

Basis of the Bargain

These limitations reflect the allocation of risk between you and Alpha Hire. The limitations will apply even if any remedy fails of its essential purpose.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Alpha Hire, Inition Technology LLP, and our officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to:

• Your use or misuse of the Services
• Your breach of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• Your User Content
• Any dispute between you and other users

Indemnification Process

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Dispute Resolution

Informal Resolution

Before filing any formal claim, you agree to first contact us at legal@alphahire.cloud and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations.

Arbitration Agreement

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with:

• Governing Rules: Arbitration and Conciliation Act, 1996 (India)
• Venue: Noida, Uttar Pradesh, India
• Language: English
• Arbitrator: Single arbitrator mutually agreed upon
• Costs: Each party bears their own costs unless otherwise awarded

Class Action Waiver

Exceptions to Arbitration

The following disputes are NOT subject to arbitration:

• Claims related to intellectual property infringement
• Claims for injunctive relief
• Small claims court actions

14. Governing Law and Jurisdiction

Applicable Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Jurisdiction

Subject to the arbitration provisions, you agree that any legal action or proceeding shall be brought exclusively in the courts located in Noida, Uttar Pradesh, India, and you consent to the personal jurisdiction of such courts.

Compliance with Laws

You agree to comply with all applicable laws, including but not limited to:

• Information Technology Act, 2000
• Indian Contract Act, 1872
• Payment and Settlement Systems Act, 2007
• Income Tax Act, 1961
• Goods and Services Tax Act, 2017
• Digital Personal Data Protection Act, 2023

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email notification to your registered email address
• Displaying a prominent notice on the platform

Effective Date of Changes

Changes will become effective:

• 30 days after notification for material changes
• Immediately for non-material changes
• Upon your continued use of the Services after the effective date

Your Options

If you do not agree to the modified Terms:

• You must discontinue use of the Services
• You may terminate your account before the effective date

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, war, riots, pandemics, government actions, or telecommunications failures.

Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Alpha Hire.

Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.
